General Terms and Conditions – TMAstudio7
Article 1 – Definitions

TMAstudio7: the contractor, established in the Netherlands, operating under the name TMAstudio7 – Epic Film Creators.

Client: the party entering into an agreement with TMAstudio7.

Agreement: any arrangement between TMAstudio7 and the Client regarding the provision of services and/or products.

Production: all videos, films, recordings, and other creative works produced by TMAstudio7.

Revision: a limited adjustment to the existing edit that does not alter the agreed concept or structure.
Article 2 – Applicability
2.1 These terms and conditions apply to all quotations, agreements, and deliveries of TMAstudio7.
2.2 Deviations from these terms and conditions are only valid if agreed upon in writing.
2.3 General terms and conditions of the Client do not apply, unless explicitly confirmed in writing by TMAstudio7.
Article 3 – Quotations & Agreements
3.1 Quotations are valid for 30 days, unless stated otherwise.
3.2 An agreement is concluded as soon as the Client provides written approval of a quotation or order confirmation (approval by email is sufficient).
3.3 If, during execution, changes prove necessary, these will be adjusted in timely consultation. Any additional work shall only be carried out after written approval by the client and will be invoiced separately.
Article 4 – Execution of the Assignment
4.1 TMAstudio7 shall execute the assignment to the best of its knowledge and ability, and on the basis of a best-effort obligation.
4.2 The Client is responsible for ensuring that all necessary information and cooperation are provided in a timely manner.
4.3 TMAstudio7 may engage third parties for the execution of the assignment if necessary.
Article 5 – Delivery & Revisions
5.1 Delivery of productions takes place according to the agreed schedule. If delays occur due to force majeure, a new reasonable deadline will be determined.
5.2 Two revision rounds per production are included. Additional revisions will be charged on a post-calculation basis.
5.3 Complaints regarding delivered services must be submitted in writing within 7 days after delivery.
Article 6 – Payment
6.1 Payment must be made within 30 days of the invoice date, unless agreed otherwise.
6.2 In the event of exceeding the payment term, the Client is in default without further notice and statutory interest is due.
6.3 For long-term projects, TMAstudio7 may require an advance payment or payment in installments.
6.4 TMAstudio7 is entitled to suspend its obligations under the agreement until full payment has been received.
6.5 All judicial and extrajudicial collection costs incurred by TMAstudio7 shall be borne by the Client.
Article 7 – Usage Rights & Intellectual Property
7.1 After full payment, the Client is granted a non-exclusive, non-transferable license to use the production for the agreed purposes (for example online, social media, events).
7.2 TMAstudio7 retains all copyrights and intellectual property rights.
7.3 The Client may not edit or reuse the production without the prior written consent of TMAstudio7.
7.4 TMAstudio7 retains the right to use productions for its own promotion and portfolio.
Article 8 – Liability
8.1 TMAstudio7 is not liable for indirect damage, consequential damage, or loss of profit.
8.2 Except in cases of willful misconduct or gross negligence, the liability of TMAstudio7 is in all cases limited to the amount charged for the relevant assignment.
8.3 Malfunctions, weather conditions, or other circumstances beyond the control of TMAstudio7 are considered force majeure.
Article 9 – Cancellation
9.1 In the event of cancellation by the Client within 7 days prior to the scheduled shooting day, 50% of the costs will be charged.
9.2 In the event of cancellation within 48 hours prior to the scheduled shooting day, 100% of the costs will be charged.
9.3 If TMAstudio7 must cancel due to force majeure, a new date will be scheduled in consultation.
Article 10 – Force Majeure
10.1 Force majeure is understood to mean circumstances that prevent the fulfillment of the agreement and that cannot be attributed to TMAstudio7, such as illness, technical failures, weather conditions, or strikes.
10.2 In the event of force majeure, obligations will be suspended or rescheduled in consultation.
Article 11 – Applicable Law & Disputes
11.1 All agreements with TMAstudio7 are exclusively governed by Dutch law.
11.2 Disputes shall be submitted to the competent court in the region where TMAstudio7 is established.
Language and prevailing version.
In the event of any discrepancies between English and Dutch versions of these terms and conditions, the Dutch version shall prevail.
